Terms of Service

Welcome to Sophora ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, sophora.app (the "Site"), and the market intelligence services we provide (the "Service"). By creating an account or using our Service, you agree to be bound by these Terms.
1. Accounts
1.1. Eligibility: You must be at least 18 years old to create an account and use our Service.
1.2. Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
1.3. Accurate Information: You agree to provide true, accurate, and complete information when creating your account and to keep that information up to date.
2. Subscriptions, Credits, and Payments
Our Service operates on a subscription and credit-based system.
2.1. Subscription Plans: We offer various subscription plans ("Plans"), including a "Free" plan and paid plans like "Pro" and "Business." Each Plan comes with a specific allotment of "Monthly Credits" that are refilled each billing period.
2.2. Monthly Credits: Monthly Credits are granted at the start of each billing cycle. **Unused Monthly Credits expire at the end of the billing cycle and do not roll over.**
2.3. Top-Up Credits: You may purchase additional, non-expiring credits ("Top-Up Credits") at any time. Top-Up Credits will only be used after all available Monthly Credits for the current billing period have been depleted.
2.4. Billing: All payments are processed by our third-party payment processor, Stripe. By purchasing a paid Plan or Top-Up Credits, you agree to their terms of service. Your subscription will automatically renew each month unless canceled.
2.5. Plan Changes: You may upgrade or downgrade your Plan at any time through the Customer Portal. Upgrades are billed on a prorated basis for the remainder of the current billing cycle. Downgrades will take effect at the start of the next billing cycle. When you change your Plan, your Monthly Credits will be reset to the amount of the new Plan, but your purchased Top-Up Credits will be preserved.
2.6. Cancellations and Refunds: You may cancel your subscription at any time through the Customer Portal. If you cancel, you will retain access to your paid features until the end of your current billing period. Please see our Refund Policy for more details. We do not offer refunds for subscription payments or unused credits.
2.7. Credit Usage: Credits are consumed when you perform actions within the Service. The cost for each action is as follows:
- Market Analysis: Each business location ("competitor") returned in a market analysis search costs 2 credits. For example, a search that returns 50 businesses will cost 100 credits.
- Detailed Review Scraping: Requesting detailed customer reviews for a specific business costs 0.3 credits per review scraped. For example, scraping 1,000 reviews for a business will cost 300 credits. The final cost is based on the number of reviews actually retrieved.
We reserve the right to change the credit cost of actions in the future.
3. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to our systems or user accounts.
- Resell, sublicense, or otherwise distribute the Service or its data without our express written permission.
- Use automated means, such as bots or scrapers, to access the Service, other than through our designated APIs.
We reserve the right to suspend or terminate your account if you violate these terms.
4. Data and Disclaimers
4.1. Third-Party Data: Our Service relies on data provided by third-party APIs, including Apify and Google. While we strive for accuracy, we cannot guarantee the accuracy, completeness, or reliability of any data provided by the Service.
4.2. "AS IS" Service: The Service and all data are provided on an "as is" and "as available" basis. You agree that you use the Service at your own risk and are solely responsible for any business decisions made based on the insights provided.
5. Intellectual Property
The Sophora name, logo, website design, and all software are the exclusive property of Sophora. You may not use our branding without our prior written consent.
6. Limitation of Liability
To the maximum extent permitted by law, Sophora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Service.
7. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by emailing the address associated with your account or by posting a notice on our Site. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
